Use of PlanetProto.com

Your use of www.planetproto.com is offered on a limited and conditional basis, and is dependant upon the following items, which are considered to be our User Agreement.

Agreement

This is a contract, forming a legally binding agreement between you and PlanetProto.com. Its terms are effective upon access of our Site. By using this site, you agree that you have accepted all the provisions of this Agreement without modification. We require your express acknowledgement of said agreement when you register as a user. If you do not accept the terms of this Agreement, you are not allowed to use the Site or the services provided therein.

The PlanetProto Site is based on trust. Agreement to abide by the terms of the Site promotes that trust among all members of our community. We recommend printing a copy of this Agreement for your records. We reserve the right to change or amend this Agreement at any time by posting the amended terms on the Site. The amended terms shall be effective as of the effective date indicated on the Site. We may also add, delete or modify some or all of our services at any time. Use of the PlanetProto Site

The Site is provided so you may get quotes on products and services, and to otherwise establish an electronic marketplace for customized engineered products. There are different types of users of PLANETPROTO.COM:

Visitors: Anyone who comes to PLANETPROTO.COM for the first time or who has not registered with PLANETPROTO.COM is a "Visitor". As a Visitor, you are able to use any of the features of PLANETPROTO.COM. Registered Users: As a registered user, you have the capability to access The Planet's Advanced Quoting System module to generate quotations for our products and services.

Your License to Use the Site:

PLANETPROTO.COM grants you a limited, non-exclusive license to only:

View and download single copies of pages contained on the Site; Generate quotations and activate projects from within The Planet's Advanced Quoting System on the Site. Your exercise of this limited license is subject to and conditioned on the terms and conditions of this Agreement. This license will terminate if you breach any term of this Agreement. You may not transfer or assign this license to any other party. PLANETPROTO.COM RESERVES THE RIGHT TO REFUSE REGISTRATION TO ANYONE, FOR ANY REASON.

PLANETPROTO.COM is the owner or licensee of all rights in the Site, its content, software, and services. PLANETPROTO.COM is not granting you any right or license to the Site, its content, software, or services besides any right explicitly stated in this Agreement. Ownership of all rights in those materials shall remain with PLANETPROTO.COM.

Customer Responsibilities and Warranties

As a customer, you agree that: (1) all information provided in a quotation is accurate and complete and shall accurately represent your ability to accept the products or services as requested; (2) no information you provide on the Site shall be fraudulent or counterfeit; (3) you are 18 years of age or older.

The customer is responsible for any and all orders placed on the Site. The shipping information used will be that in the Customer Profile section, unless we are expressly notified otherwise. All shipments will be FOB from our manufacturing centers. All orders will be confirmed by a PLANETPROTO.COM project manager, so the customer must make arrangements to accept this confirmation in order for the project to continue. After an order is placed, an approved Purchase Order must be faxed to the provided fax number at PLANETPROTO.COM. It is accepted that all work is satisfactory and accepted after the final interview with the PlanetProto.com project manager.

System Integrity

You may not use any device, software or routine, including but not limited to any viruses, trojan horses, worms, time bombs or cancelbots, intended to damage or interfere with the proper working of the Site or to surreptitiously intercept or expropriate any system, data or personal information from the Site. You may not take any action which imposes an unreasonable or disproportionately large load on our infrastructure, including but not limited to "spam" or other such unsolicited mass e-mailing techniques.

Registration Identification and Passwords

Your Site registration identification and password are confidential and proprietary and you may not disclose your registration identification or password to, or share them with, any third parties, or otherwise use registration identification or password for any unauthorized purpose.

Links to and from Third-Party Sites

The Site may contain links to third-party web sites not under the control or operation of PLANETPROTO.COM. PLANETPROTO.COM provides links only as a convenience and does not endorse and is not responsible for the contents of any linked site or any site linked to from a linked site. You agree not to provide any link to or from any page on the Site without the express written permission of PLANETPROTO.COM.

Third-party Content

The Site contains news and information published by various third party providers. The Terms and Conditions of the respective third parties are incorporated herein by reference and are part of these Terms & Conditions.

Compliance with Laws

You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of the Site or your bidding on or purchase of products and services and posting and retrieval of information (including without limitation those governing export control, unfair competition, antitrust, and false advertising). You are responsible for paying all applicable fees and taxes you incur to buy products and services or access our servers. You acknowledge that PLANETPROTO.COM has an express policy of complying with all applicable laws, including but not limited to United States antitrust laws, and that the operation of the Site is not intended to facilitate collusion or other illegal agreements among competitors. To further that end, you represent and warrant to us that you do not intend to use the Site to violate the antitrust laws and will not knowingly act as a conduit or intermediary for price-fixing or any other anti-competitive activities.

Termination

We may terminate your membership if you breach any term of this Agreement, or if we are unable to verify or authenticate any information you provide to us. You may terminate your ability to use the Site, your registration identification and password at any time by sending us a notice at info@planetproto.com.

Privacy

Our Privacy Policy (http://www.planetproto.com/privacy.php) may be modified by PLANETPROTO.COM at its sole discretion from time to time, is incorporated into this Agreement.

No Warranty

WE PROVIDE THE SITE AND ITS SERVICES AS IS, WHERE IS, AND AS AVAILABLE. WE MAKE ABSOLUTELY NO WARRANTY OR CONDITION OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY. WE SPECIFICALLY DISCLAIM THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE ALSO DO NOT GUARANTEE CONTINUOUS, UNINTERRUPTED OR SECURE ACCESS TO OUR SITE OR SERVICES, AND HEREBY NOTIFY USERS THAT OPERATION OF THE SITE MAY BE INTERFERED WITH BY NUMEROUS FACTORS OUTSIDE OF OUR CONTROL. USE THE SITE AT YOUR OWN RISK.

Indemnification

You agree to indemnify PLANETPROTO.COM from and against any and all claims and damages of any kind (including attorneys' fees) resulting from your use of the Site, from your breach of any provision of this Agreement or from any actions you take. We reserve the right to report any wrongdoing by you, if we become aware of it, to the applicable government authorities.

The sale of all custom manufactured parts is governed by PlanetProto Standard Terms and Conditions set forth here.
